Drawing on more than 30 years of broad transactional experience, including 12 years as an in-house counsel at one of Chicago’s largest banks, Bruce Baker counsels financial institutions handling finance, commercial, regulatory, and merger and acquisition matters, as well as general corporate issues.

Bruce advises clients on general corporate and commercial transactions, start-up companies, structuring private company acquisitions, initial capital structures, private equity, and mezzanine investments. In addition, he prepares and negotiates bank financing documents for middle market corporate financings of all types, including senior and subordinated debt, secured and unsecured credit agreements, cash flow and asset based financings, and real estate construction and acquisition transactions. His deep experience helps clients involved in complex corporate acquisitions, divestitures and recapitalizations, private banking relationships and wealth management strategies.

Focused on advising clients in middle market, private banking, and business banking transactions of all types, Bruce has documented financings involving single bank and syndicated transactions, all types of collateral, and highly leveraged terms. In addition, he counsels start-up and entrepreneurial companies, advising them on initial capital structures, M&A, private equity matters, and mezzanine investments.
